Constitution

Article I

Name and Purpose



A. The Organizations name will be Rheinland Pfalz Quilt Guild.



B. The purpose of the organization is to promote quilting in a positive manner and to interact and share ideas with other quilters in the military community and the German community.

Article II

General Provisions

A. The organization is established pursuant to the provisions of AFI 34-223 as a type 3 organization.

B. The organization operates on Vogelweh/Ramstein AB only with the consent of the Installation Commander. Operation is contingent on compliance with the requirements and conditions of all applicable Air Force regulations.

C. Members may be personally liable for the organizations debts if the organizations assets are insufficient to meet its financial obligations.

D. Roberts Rules of Order, Revised Edition, will govern in all cases where the parliamentary issue is not addressed in the constitution and by-laws. A copy will be maintained by the organizations secretary.

E. No part of the organizations earnings will accrue to the benefit of any member.

Article III

Officers and Governing Body

Officers: President, First Vice President, Second Vice President, Secretary and Treasurer.

Article IV

Membership

A. Membership in the organization will be voluntary and open to NATO, military and civilian personnel, primarily of the DOD family. Membership is open to any individual who has an interest in quilts of the art of quilting.

B. The organization will not discriminate against anyone on the basis of race, color, creed, religion, age, ethnic group, gender or national origin.

Article V

Financing

A. The organization will raise money through membership dues and occasional fundraisers. This organization will not engage in any resale activities without written authority from the installation commander through 86 SVS/SVRP.

B. The organizations funds will be kept in a unit funds account. Officers authorized to sign drafts or withdraw funds are the President, First Vice President, Second Vice President, Secretary and Treasurer. Two signatures are required.

C. The Treasurer will provide a financial report upon the request of two-thirds of the membership, the installation commander, or as directed by higher headquarters.

Article VI


Activities

Quilt shows may be held to promote quilting throughout the local community and to benefit the guild. Donations will be accepted to purchase additional resource materials for the guild library and to further guild pursuits.

Article VII

Meetings and Quorums

A. Meetings will be normally held the third Thursday of each month at 9:30 am. Exceptions will be announced prior to the changes as soon as possible.

B. A quorum shall consist of one-third of active members and shall include at least two elected officers.

C. Business meetings will be held once a month. Voting members will be elected officers and appointed committee chairpersons.

D. The President may call a special meeting when it is deemed necessary.

E. If the area schools are cancelled and/or road conditions are "red", the guild meeting is also cancelled.

Article VIII

Adoption and Amendments



A. The constitution and by-laws becoming effective upon adoption by and affirmative vote of a majority of the membership and subject to final review by the installation commander.



B. The constitution and by-laws may be amended, in whole or in part, subject to final review by the installation commander and an affirmative vote of the membership present. Notice of intent to amend the constitution and by-laws must be given to each member no later than the meeting prior to the vote on the amendment.



C. The constitution and by-laws will be automatically amended to conform with directives from higher headquarters.

Article IX

Dissolution

In case of dissolution of the organization, any Guild property will be liquidated or donated according to a vote of the majority of the membership. Funds in the treasury will be used to satisfy any outstanding debts, liabilities, or obligations. Any balance remaining will be disposed of as determined by the membership to purchase quilts for museums and historical societies and/or given to charity. None of the remaining funds will be distributed to accrue to the benefit of any member.

Article X

Insurance

The organization has received a temporary waiver for the need of liability insurance.
